1. Introduction

This document, hereafter “Agreement”, sets out the terms between you ("User" or "Member") and us concerning the Introducer Service. Other terms, such as the general Platform Terms and Conditions is integrated by reference.

Before we offer you a Member Account, we require you to agree to these Terms and our Privacy and Cookies Policy by selecting “I agree” on our platform. By doing so, you acknowledge that you've read, comprehended, and accepted the terms. The agreement becomes binding when we provide you access to our services.If you don't agree with these Terms or if it's illegal for you to avail our Services, refrain from providing your consent and using our Services.

2. Acknowledgment of Risks

By using our services, you confirm that:

2.1. Awareness of Risks: You are fully aware of the inherent risks associated with transactions involving Virtual Assets. Such transactions can be volatile and unpredictable, leading to potential financial losses.

2.2. Assumption of Responsibility: You willingly assume all risks and potential financial liabilities related to the use of our Services, especially those involving transactions of virtual assets. It's crucial to understand that the value of virtual assets can fluctuate significantly, and there's a substantial risk that you might incur monetary losses when buying, selling, holding, or investing in such assets.

2.3. Right to Modify Services: We reserve the right, at our sole discretion, to amend, limit access to, or terminate any functionalities and Services provided on the Platform. Such changes can be made without any prior notice to the Members. It's essential to regularly review our terms and platform updates to stay informed about any modifications.

3. How To Become An Introducer

3.1. Referral Requirement: To become an Introducer, a Member has to refer at least three potential Members using their unique Referral Link. These referrals must register on the Platform, becoming a part of the Member’s network.

3.2. Achieving Bronze Rank: A Member has to reach the Bronze Rank on the Platform. Upon achieving this, they'll be invited to become an Introducer. Accepting this invitation is vital to access the associated perks.

4. Limitation of Liability and Indemnification

4.1. Limitation of Liability: To the maximum extent permitted by applicable law, neither we nor any of our directors, employees, agents, partners, or affiliates shall be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages) arising out of or in connection with the use of our platform or its associated services. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and even if we have been advised of the possibility of such damage.

4.2. Indemnification: You agree to defend, indemnify, and hold us, our affiliates, subsidiaries, directors, agents, and employees, harmless from and against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorney's fees) arising out of or related to your conduct, your use or inability to use our platform, your breach or alleged breach of these terms or of any representation or warranty contained herein, your unauthorized use of our content, or your violation of any rights of another.

5. Risk Disclaimer

5.1. The User acknowledges that the Platform may, from time to time, encounter disruptions, delays, or errors due to technical challenges, cybersecurity breaches, unforeseen external factors, or other anomalies. The Platform disclaims any liability for any losses, damages, or inconveniences suffered by the User as a result of such disruptions, and does not guarantee continuous, uninterrupted, or error-free service.

5.2. The Platform reserves the right to carry out unscheduled updates or modifications to improve its functionality, security, and overall user experience. These updates may temporarily disrupt access to or use of the Platform. The User agrees to bear any inconveniences or interruptions resulting from such updates.

5.3. The Platform does not offer, provide, or engage in rendering financial, legal, or investment advice or services. All financial engagements, transactions, or decisions made on or through the Platform are undertaken solely at the User's risk and discretion. The Platform shall not be held liable for any losses or adverse outcomes arising from such engagements.

5.4. The User acknowledges that the markets for tokens and virtual assets can be inherently volatile, unpredictable, and may present risks. It remains the User's responsibility to exercise due diligence and prudence when engaging in any activities and/or participating in any features and reward programs on the Platform. The Platform may inadvertently list or allow the trading of fake, counterfeit, or fraudulent tokens. The User assumes all risks associated with engaging with such tokens, and the Platform expressly disclaims any liability for losses or damages arising from such engagements.

6. Applicability of Terms & Conditions and Risk Waivers

6.1. Comprehensive Governance: All interactions, engagements, and transactions made on our platform are governed by our overarching Terms & Conditions. These set the fundamental principles, obligations, and rights for all parties involved.

6.2. Incorporation of Risk Waivers and Other Documents: All risk waivers, disclaimers, and other ancillary documents or agreements provided or made available by us are inherently integrated into and form part of our platform's Terms & Conditions. By using our platform, you acknowledge, accept, and consent to be bound by all such documents in conjunction with these terms. It's imperative for users to understand that any stipulations, guidelines, or conditions set out in these documents are equally enforceable as the primary Terms & Conditions.

7. Governing Law

7.1. These Terms, and any matters arising out of or in relation to them, shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of laws principles.

7.2. Any disputes, controversies, or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.
